Comprehensive Driver Terms and Conditions
IndoGreen Mobility Private Limited - National Capital Territory of Delhi (Delhi-NCR)
I. Contractual Relationship (Independent Contractor)
Independent Status: You acknowledge and affirm that your relationship with IndoGreen is strictly that of an independent contractor/Transport Service Provider (TSP). This Agreement does not create an employment, agency, joint venture, or partnership relationship with the Company.
No Employment Rights: You are solely responsible for your own taxes, insurance (beyond that provided by the Company), and all related statutory payments applicable to an independent business owner.
Unilateral Termination Right: IndoGreen reserves the right to immediately terminate these Terms and your access to the platform for any breach or violation.
II. Mandatory Driver Eligibility and Screening
Legal Requirements: You must possess a valid Driving License of the appropriate category and be legally competent to operate a commercial vehicle in the operational area.
Police Verification: You acknowledge that IndoGreen is required to conduct, and must receive, a Police Verification Report (Character and Antecedents) at least seven (7) days prior to your onboarding.
Medical and Psychological Fitness: You shall undergo a medical examination for fitness (including eye check-up) and a psychological analysis to determine your fitness for service, as required for compliance.
III. Mandatory Vehicle and Document Compliance
Vehicle Age Restriction: You warrant that the vehicle registered on the platform has not been registered for more than a period of eight (8) years from the date of initial registration.
Valid Documentation: Your vehicle must possess a valid Registration Certificate (RC), a valid Certificate of Fitness, and a valid commercial Third-Party Insurance Policy at all times.
Real-Time Authentication: You consent to IndoGreen verifying and authenticating all your documents against the VAHAN and SARATHI portals on a real-time basis.
IV. Technology and Safety Equipment Mandates
VLTD and Panic Button: Your vehicle must be fitted with a functional Vehicle Location Tracking Device (VLTD) compliant with AIS 140, along with a Panic Button.
Uninterrupted Connectivity: You are responsible for ensuring your device maintains uninterrupted contact with the Company's 24x7 Control Room throughout your duty hours.
In-Vehicle Display: You must display a copy of your driver's license and the motor vehicle permit (if applicable) inside the vehicle, clearly visible to passengers.
V. Fare Structure and Financial Rights
Driver's Statutory Share (Owner-Driver): For a vehicle owned by you, IndoGreen guarantees you shall receive at least 80% of the fare applicable.
Driver's Statutory Share (Aggregator-Owned): For a vehicle owned by the Aggregator, you shall receive at least 60% of the fare applicable.
Settlement Guarantee: Payment of your share of the fare will be settled daily, weekly, or fortnightly, but shall not be later than fortnightly.
VI. Subscription and Service Fees
Software Service Fee: The Company has the discretion to charge a software usage/subscription fee from you, determined and informed on a prior basis by the Company.
Payment Method: You authorize the Company to deduct all applicable fees, charges, and taxes (other than those you must remit directly) from your Gross Fare.
Fare Acceptance: You shall not demand a fare higher than the final pre bid/determined fare from the customer after completion of the ride.
VII. Compensation and Penalty Waiver (Pro-Driver Clause)
Zero Penalty Policy: You acknowledge and benefit from IndoGreen's policy to waive all financial penalties (10% of fare, max. ₹100) that the Company is statutorily authorized to impose on you for unjustified cancellation under Clause 18.1 of MVAG, 2025.
No Cancellation Fee Revenue: As no cancellation fee is charged to the Passenger, no automatic compensation is passed to you for a Passenger No-Show.
VIII. Welfare and Insurance Obligations (Company Duty)
Health Insurance: The Company is obligated to ensure you have a Health Insurance policy for not less than ₹5 Lakh.
Term Insurance: The Company is obligated to ensure you have a Term Insurance policy for not less than ₹10 Lakh.
Annual Increase: The minimum coverage amounts for both insurances shall be increased annually by a percentage notified by the Central Government.
IX. Professional Conduct and Safety Duties
Zero-Tolerance Compliance: You must strictly adhere to the Company's Zero Tolerance Policy and shall not consume liquor, cigarettes, or any other kind of intoxicant while performing the Service.
Safety and Adherence: You shall ensure the safety and security of the Customer and the vehicle at all times, avoid rash driving, and comply with all traffic regulations.
Route Adherence: You must follow the route indicated in the App. Deviation triggers a Control Room alert for safety purposes.
X. Prohibited Activities and Account Abuse
Unlawful Activity: You shall not undertake or assist in any unlawful or illegal activity while performing the Services.
Unauthorized Driving: You shall not allow unauthorized persons to drive the Vehicle.
Customer Exploitation: You shall not demand additional payment from the Customer after the ride completion.
XI. Driver Autonomy and Non-Exclusivity
Non-Restriction Clause: The Company shall not prohibit or restrict you from operating with multiple aggregators.
Working Hours: You must not drive for more than 12 hours in a single day, and you must take a mandatory rest break in compliance with safe driving rules.
XII. Mandatory Training and Assessment
Induction Training: You must successfully complete the Induction Training Programme (at least 40 hours) before commencing services, covering gender sensitivity and Divyangjan sensitivity.
Annual Refresher: You are required to undergo Annual Refresher Training.
Mandatory Quarterly Training: If your rating falls below the 5th percentile, you must compulsorily undergo mandatory quarterly refresher training.
XIII. Driver Off-Boarding and Inquiry Protocol
Inquiry Protocol: When a complaint is registered against you, an inquiry will be conducted by IndoGreen within a period of three (3) days.
Action Post-Inquiry: Appropriate action against you shall only be taken after the completion of such inquiry.
Immediate Suspension: Notwithstanding the above, you will be immediately and forthwith Off-Boarded upon receipt of a complaint alleging violation of the zero tolerance policy (pending investigation).
XIV. Dispute Resolution and Grievance
Grievance Officer: You may direct any dispute regarding penalties or contract terms to the Grievance Officer, whose details are available on the Driver App and website.
Mandatory Negotiation: Disputes shall first be attempted to be resolved by mutual discussion and negotiation.
XV. Data Privacy and Consent
Data Processing: You consent to the processing of your data in accordance with the IndoGreen Mobility Privacy Policy (Data Protection Notice).
Mandatory Data Sharing: You consent to IndoGreen sharing your personal data and vehicle data with statutory bodies and law enforcement as and when required by law.
XVI. Intellectual Property and App Usage
App Usage: You shall only use the App for the specific purpose of providing services under this Agreement.
IPR Acknowledgment: You acknowledge that all IPR in the App and platform belong exclusively to IndoGreen Mobility Private Limited.
XVII. Indemnification (Company Protection)
Indemnification Clause: You agree to indemnify, defend, and hold harmless IndoGreen, its affiliates, directors, and agents against any and all claims, demands, losses, and expenses (including legal fees) arising from: (a) Your breach of these T&Cs or (b) Your violation of any Applicable Law.
XVIII. Governing Law and Jurisdiction
Governing Law: These T&Cs shall be governed by and construed solely in accordance with the laws of the Republic of India.
Arbitration and Venue: Disputes shall be resolved by binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The exclusive seat and venue of arbitration shall be Delhi.
